By accessing and using TagsTrader.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you may not use the Platform. TagsTrader reserves the right to modify these Terms at any time. Your continued use of the Platform following any modifications constitutes your acceptance of the updated Terms.

2. Description of Service

TagsTrader is a digital marketplace platform that facilitates the discovery, valuation, and private trading of vanity license plates between buyers and sellers. The Platform provides AI-powered search, valuation tools, messaging systems, and transaction coordination features to connect interested parties. TagsTrader does not itself buy, sell, or own any license plates.

3. AI Valuation Disclaimer

IMPORTANT LEGAL NOTICE

The valuation estimates provided by TagsTrader's AI-powered valuation tool are generated through algorithmic analysis of historical market data, comparable sales, plate characteristics, and demand indicators. These valuations are:

  • Estimates Only - Not binding valuations or appraisals
  • Not Guarantees - Do not guarantee actual market value, sale price, or buyer interest
  • Based on Assumptions - Derived from AI models trained on historical data and may not account for unique market conditions, regulatory changes, or individual circumstances
  • Subject to Error - May contain inaccuracies due to incomplete data, model limitations, or unforeseen market factors
  • For Informational Purposes - Intended only to provide general guidance and should not be relied upon as professional financial, legal, or appraisal advice

Disclaimer: TagsTrader makes no representation or warranty regarding the accuracy, completeness, or reliability of any valuation provided. Users should conduct independent research, consult with professional appraisers, and exercise their own judgment when determining fair market value. TagsTrader shall not be liable for any losses, damages, or disputes arising from reliance on valuation estimates.

4. User Accounts and Registration

To access certain features of the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TagsTrader immediately of any unauthorized use of your account. TagsTrader reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. User Conduct and Prohibited Activities

You agree not to:

  • Post false, misleading, or fraudulent information about license plates or yourself
  • Engage in harassment, threats, or abusive behavior toward other users
  • Attempt to manipulate valuations, search results, or platform algorithms
  • Use automated tools, bots, or scripts to access the Platform without authorization
  • Violate any applicable laws, regulations, or DMV rules regarding license plate transfers
  • Engage in money laundering, fraud, or other illegal activities
  • Infringe upon intellectual property rights or post copyrighted content without permission
  • Attempt to reverse-engineer, decompile, or access the Platform's underlying systems

6. Listing and Selling Plates

Sellers warrant that they are the legitimate owner of any license plate listed on the Platform and have the legal right to sell it. All listings must include accurate information about the plate's condition, jurisdiction, and any restrictions. TagsTrader reserves the right to verify ownership through DMV records or other means before approving listings. Sellers are responsible for all applicable taxes, fees, and regulatory compliance related to their sales.

7. Buyer Protections and Offers

When making an offer or engaging in negotiations, buyers agree to act in good faith. TagsTrader facilitates communication but does not guarantee that any offer will be accepted or that any transaction will be completed. Buyers are responsible for verifying plate authenticity, legality, and transferability before committing to a purchase. All transactions are conducted privately between parties; TagsTrader is not a party to any sale agreement.

7A. License Plate Transfer Disclaimer - CRITICAL LEGAL NOTICE

⚠️ IMPORTANT: TagsTrader IS NOT INVOLVED IN THE LEGAL TRANSFER OF LICENSE PLATES

TagsTrader is exclusively a digital coordination and marketplace platform. We facilitate the discovery, valuation, and sale of vanity license plates between private parties. TagsTrader does not handle, execute, process, or manage the legal transfer of any license plate.

What TagsTrader Does:

  • Provides a marketplace to list and discover vanity license plates
  • Offers AI-powered valuation estimates for informational purposes only
  • Facilitates buyer-seller communication through messaging
  • Processes payment transactions between parties
  • Provides informational guides and checklists for coordination purposes

What TagsTrader Does NOT Do:

  • Handle or transfer ownership of license plates
  • Interact with state DMV agencies or regulatory bodies
  • Provide legal advice regarding plate transfers
  • Guarantee the legality or transferability of any plate
  • Ensure compliance with state or federal regulations
  • Accept liability for transfer-related disputes or failures

Full Responsibility on Parties: Buyers and sellers are solely responsible for completing the legal transfer of license plates through their respective state's Department of Motor Vehicles (DMV) or equivalent regulatory agency. This includes obtaining all required documentation, paying applicable fees, submitting required forms, and complying with all state and federal laws governing license plate ownership and transfer.

No Guarantee of Transferability: TagsTrader makes no representation or warranty that any license plate listed on the Platform is legal, transferable, or capable of being registered in any particular jurisdiction. Buyers must independently verify with their state DMV that the plate they wish to purchase can be legally transferred and registered in their name before committing to a purchase.

Coordination Tools Only: Any transfer checklists, state-specific guides, or coordination tools provided by TagsTrader are for informational and coordination purposes only. These tools are not legal advice and do not constitute instructions for completing a legal transfer. Users should consult their state DMV website or a qualified attorney for official transfer procedures and requirements.

Disclaimer: TagsTrader shall not be liable for any losses, damages, disputes, regulatory violations, failed transfers, or any other consequences arising from the legal transfer (or failure to transfer) of any license plate, regardless of whether such consequences result from user error, state regulatory changes, plate ineligibility, or any other cause.

8. Fees and Payments

TagsTrader charges fees for certain services including listing, messaging unlocks, and sponsored placements as disclosed on the Platform. All fees are non-refundable except as required by law. TagsTrader reserves the right to modify fees with 30 days' notice. Payment processing is handled by third-party payment processors; TagsTrader is not responsible for payment errors or disputes.

9. Intellectual Property Rights

All content on the Platform, including text, graphics, logos, images, and software, is the property of TagsTrader or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or transmit any content without prior written permission. User-generated content (listings, messages, reviews) remains your property, but you grant TagsTrader a non-exclusive, worldwide license to use, display, and promote such content on the Platform.

10. Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAGSTRADER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Failed transactions or disputes between buyers and sellers
  • Inaccurate valuations or market information
  • Unauthorized access to your account
  • Service interruptions or technical errors
  • Failed, incomplete, or delayed license plate transfers
  • Regulatory violations or non-compliance with state DMV requirements
  • Plate ineligibility, legal challenges, or transferability issues
  • Disputes arising from the legal transfer process or DMV interactions

TagsTrader's total liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim.

SPECIFIC DISCLAIMER - LICENSE PLATE TRANSFERS:

TagsTrader explicitly disclaims all liability for any losses, damages, or consequences related to the legal transfer of license plates, including but not limited to: failed DMV applications, rejected transfer requests, regulatory non-compliance, plate ineligibility, transfer delays, disputes with state agencies, loss of plate ownership, or any other transfer-related issues. Users assume all risk associated with the legal transfer process and agree to hold TagsTrader harmless from any claims arising therefrom.

11. Indemnification

You agree to indemnify and hold harmless TagsTrader, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from your violation of these Terms, your use of the Platform, or any dispute with another user.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to pursue claims in court or participate in class action lawsuits. Each party shall bear its own costs, except as otherwise provided by law.

13. Termination

TagsTrader may terminate or suspend your account at any time, with or without cause, and without liability. Upon termination, your right to use the Platform ceases immediately. Sections regarding limitation of liability, indemnification, and dispute resolution shall survive termination.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware.
